To lose weight, you HAVE to have a calorie deficit. This is achieved through diet and/or exercise. You can have a calorie deficit in your diet as well as the calories expended through exercise or you can create a calorie deficit through one of them. If you can't eat less, then that means you need to exercise more or get more active than what you currently are. If you want to lose weight without cutting calories, then that means you need to get REALLY active. Without knowing more it is hard to say exactly how active. I would venture to say that you would need to do a lot more than toning exercises. Yes, if you lose the weight and then you stop exercising but continue eating the same, you will gain the weight back. Best of luck and good health!

Instead of eating fast digesting carbs, eat complex carbs (Oatmeal, fruits) Eat as much as you want. Eat more protein (chicken, turkey, beef) Eat as much as you want. Gain some muscle, like you said (squats and abs exercises). More muscle will make your hips and thighs look more firm and toned. Do some low intensity cardio (walking) Yes you will loss the muscle you gained and gain fat if you go back to eat unhealthy and not exercising at all. To be honest you don't really sound like you wanna do this at all.
