Overdressed means that you are dressed too formal for a casual event and underdressed means that you are too casual for a formal event.

Overdressed--when a man wears a suit or a woman wears a dress and everybody else is wearing shorts and a t-shirt. Underdressed -- wearing shorts and a t-shirt when everybody else is "dressed to the nines," and wearing half their income dangling from their earlobes, around their neck, or around their wrist.

These words are pretty self-explanatory but I'll give you examples for both. If you are "overdressed" you might go to an event in a tuxedo while everyone else is wearing jeans and a t-shirt. If you are "underdressed" you might have gone to prom in jeans and a t-shirt while everyone else is wearing suits and gowns. Basically each is in relation to what others are wearing and the type of event that is being held.

Overdressed basically means you have dressed to formal - Smart clothing. Under-dressed is basically wearing a hoodie with jean to a interview.
